1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of ai4live.com (the "Site"), operated by AI4Live LLC, a Florida limited liability company ("AI4Live," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

The Site is intended for business use by individuals who are at least 18 years old and who have the authority to act on behalf of the business they represent. By using the Site, you represent that you meet these requirements.

3. Our Services

AI4Live provides artificial intelligence consulting, implementation and custom development, corporate training, and AI search optimization services.

The Site is informational. Nothing on the Site creates a contract for services. Services are provided only under a separate written agreement signed by both parties. Submitting a form, scheduling a call, or communicating with us does not create a client relationship or obligate either party.

4. Pricing Information

Prices shown on the Site are indicative estimates for typical engagements. They are provided for general guidance only.

Prices on the Site are not an offer and are not binding. Actual pricing depends on project scope, complexity, timeline, and requirements, and is confirmed only in a signed written agreement. We may change published prices at any time without notice.

5. No Guarantee of Results

The Site describes outcomes achieved by past clients, including percentage figures and performance metrics. These figures are averages across our project portfolio and are provided for illustration.

We do not guarantee any specific result. Outcomes depend on many factors outside our control, including your business model, team, data quality, existing systems, market conditions, and the extent to which recommendations are implemented. Past results do not predict future performance.

Nothing on the Site constitutes a warranty, guarantee, or promise of any particular business, financial, or operational outcome.

6. No Professional Advice

Content on the Site, including articles, FAQs, case descriptions, and educational material, is general information only. It does not constitute legal, financial, tax, medical, or other professional advice, and should not be relied upon as such.

7. Third-Party Services and AI Tools

We do not control these services and are not responsible for their availability, content, accuracy, security, privacy practices, or terms. Your use of any third-party service is governed by that party's own terms and policies.

References to third-party products or companies do not imply endorsement by or affiliation with them.

8. Intellectual Property

8.1 Our Content

All content on the Site — including text, graphics, logos, images, layout, design, software, and the AI4Live name and marks — is owned by AI4Live LLC or its licensors and is protected by United States and international intellectual property laws.

You may view and print pages of the Site for your own internal business evaluation. You may not copy, reproduce, republish, distribute, modify, sell, or create derivative works from Site content without our prior written permission.

8.2 Client Deliverables

Ownership of work product created for clients is governed by the applicable signed services agreement, not by these Terms.

8.3 Feedback

If you send us suggestions, ideas, or feedback about the Site or our services, you grant us the right to use that feedback without restriction or compensation.

9. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with or disrupt the Site, including by introducing malware or launching automated attacks
• Scrape, harvest, or extract data from the Site by automated means, except that we permit indexing by legitimate search engines and AI crawlers
• Submit false, misleading, or fraudulent information through our forms
• Submit another person's personal information without their authorization
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Site to send unsolicited commercial communications
• Reverse engineer or attempt to derive the source code of any part of the Site

We may suspend or block access to the Site for any user who violates these Terms.

10. Information You Submit

You are responsible for the accuracy and legality of information you submit through the Site. Do not submit confidential information, trade secrets, or sensitive personal data through our web forms — such information should be shared only under a signed non-disclosure agreement.

Information submitted through the Site is handled as described in our Privacy Policy.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, AI4LIVE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AI4LIVE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Liability arising from paid services is governed exclusively by the applicable signed services agreement.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI4Live LLC and its members, managers, employees, and contractors from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Pinellas County, Florida. You consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.

15. Informal Resolution

Before filing any claim, you agree to contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

16. Severability and Waiver

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.

Our failure to enforce any provision is not a waiver of our right to do so later.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AI4Live regarding your use of the Site. They do not modify or replace any signed services agreement between us.

18. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the "Last updated" date above. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
